ZPTAG PLATFORM TERMS OF SERVICE

Welcome to the ZPTAG® platform. These Terms of Service ( "Terms") are a contract between you and Genuine Marketing Group, Inc, a Nevada company with its principal place of business at 217 Geneva Blvd. Burnsville, MN 55306 ("GMG", "we", "us"). They explain how you may access and use our website, software, digital tagging tools, traceability services, and related features (collectively, the "Platform"). 
We provide tools designed to support agricultural traceability, product storytelling, and sustainability engagement. These Terms set out the framework under which we work together. By accessing or using the Platform, you agree to these Terms. 

1. Who These Terms Apply To 
Summary: These Terms apply to business users of the Platform. 
The Platform is intended for use by farming businesses, agricultural cooperatives, producers processors, manufacturers, distributors, retailers and supply chain participants. By using the Platform, you confirm that: (a) you are acting in the course of business; (b) you are not using the Platform as a consumer; and (c) you have authority to bind any organization on whose behalf you act. 

2. What the Platform Does 
Summary: We provide digital infrastructure and engagement tools. 
The Platform may include ZPTAG QR-enabled identifiers, product traceability tools, digital storytelling features, sustainability and carbon data display tools, marketing and engagement tools, and analytics and reporting tools. The Platform provides digital infrastructure only. GMG does not provide certification services, regulatory compliance advice, legal advice, environmental auditing services, or carbon verification or assurance. Users remain responsible for their business operations and claims. 

3. Account Registration 
Summary: Keep your account secure and information accurate.  
To access certain features, you may be required to create an account. You agree to: (a) provide accurate and complete information; (b) maintain the security of your login credentials; and (c) notify us promptly of unauthorized use. You are responsible for all activity under your account. We may suspend accounts that contain inaccurate information or pose security risk. 

4. Your License to Use the Platform 
Summary: We give you a limited right to use the Platform for your busines s. 
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes and in accordance with these Terms. You may not: (a) resell, sublicense, or redistribute the Platform; (b) reverse engineer or copy the software; (c) circumvent security features; or (d) use the Platform for unlawful purposes. All rights not expressly granted remain with GMG. 

5. Your Content and Data 
Summary: You own your content, but allow us to operate the Platform using it.  
You retain ownership of information, images, sustainability data, certifications, product details, and other materials you upload ("User Content"). You grant GMG a non-exclusive, worldwide, royalty-free license to: (a) host and store User Content; (b) display it through ZPTAG tools; (c) process and analyze it to operate and improve the Platform; and (d) create aggregated and anonymized analytics that do not identify you or any individual. You are responsible for ensuring that User Content: (i) is accurate and not misleading; (ii) complies with applicable laws and advertising standards; and (iii) does not infringe third-party rights. 

6. Sustainability and Environmental Information 
Summary: You are responsible for your environmental claim s. 
The Platform enables presentation of sustainability, traceability, and environmental information. Unless expressly agreed in writing: GMG does not verify sustainability claims; GMG does not certify carbon calculations; and GMG does not independently audit environmental data. You are solely responsible for ensuring that all environmental, sustainability, carbon, or product claims comply with applicable law and marketing standards. 

7. Subscription and Payment 
Summary: Paid features are governed by separate subscription ter ms. 
Certain Platform features require payment. Fees and billing are governed by: (a) the applicable ZPTAG Subscription Agreement; (b) any Subscription Services Agreement between GMG and a cooperative (if applicable); and (c) any enrollment or order form (if applicable). If payment is not received when due, we may suspend access to paid features after reasonable notice. Fees are non-refundable except as required by law or expressly agreed. 

8. Responsible and Lawful Use 
Summary: Use the Platform honestly and lawfully.  
You agree not to: (a) upload knowingly false or misleading information; (b) make deceptive or unsubstantiated sustainability claims; (c) violate intellectual property rights; (d) interfere with system security; or (e) introduce malicious software. Where concerns arise, we will generally seek to resolve issues collaboratively before restricting access, except where immediate action is necessary for legal or security reasons. 

9. Intellectual Property 
Summary: We own the Platform and its technology.  
The Platform — including software, ZPTAG technology, branding, documentation, and algorithms and analytics tools — is owned by GMG or its licensors. Except for the limited license granted above, no ownership rights are transferred. If you provide feedback, suggestions, or improvement ideas, we may use them without restriction. 

10. Service Availability 
Summary: We aim for reliability, but cannot guarantee uninterrupted service. 
We strive to provide reliable access. However, service may be affected by maintenance, updates, third-party infrastructure, and events outside our control. We do not guarantee uninterrupted or error-free service. 

11. Suspension and Termination 
Summary: We may suspend access where necessary to protect users or comply with law. 
We may suspend or restrict access if: (a) fees remain unpaid; (b) these Terms are materially breached; (c) continued use poses legal or regulatory risk; (d) security concerns arise; or (e) required by law or sanctions regulations. Where practicable, we will provide notice and an opportunity to remedy issues. Upon termination: your license to use the Platform ends; access to paid features ceases; and data handling will follow our retention policies and any applicable subscription agreement. 

12. Warranties and Disclaimers 
Summary: The Platform is provided as available. 
The Platform is provided on an "as available" basis. To the fullest extent permitted by law, GMG disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy or completeness of user-provided data. We do not guarantee that the Platform will meet every business objective. 

13. Limitation of Liability 
Summary: Our liability is capped. 
To the maximum extent permitted by law: (a) GMG is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption; and (b) GMG’s total aggregate liability arising out of or relating to the Platform shall not exceed the fees paid by you for the relevant services in the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability that cannot be excluded by law. 

14. Indemnification 
Summary: You are responsible for claims arising from your content or claims.  
You agree to indemnify and hold GMG harmless from claims arising out of: (a) your User Content; (b) your product or sustainability claims; (c) your violation of law; or (d) your infringement of third-party rights. 

15. Export and Compliance 
Summary: The Platform may not be used in violation of sanctions or export laws.  
You confirm that: (a) you are not subject to applicable sanctions; (b) you are not owned or controlled by a sanctioned person; and (c) you will not use the Platform in violation of export or trade laws. We may restrict access if required by law.

16. Privacy and Data Protection 
Summary: Privacy is governed by our Privacy Policy. 
Use of the Platform is subject to our Privacy Policy, available at zptag.com/privacy/ Each party is responsible for complying with applicable data protection laws in relation to the data it holds. 

17. Changes to These Terms 
Summary: We may update these Terms from time to time. 
We may update these Terms periodically. If changes are material, we will provide reasonable advance notice by email to your account email address and by posting the updated Terms with a new effective date. Continued use of the Platform after the effective date of an update constitutes acceptance. We maintain an archive of prior dated versions of these Terms, available on request. 

18. Governing Law 
Summary: Minnesota law applies. 
These Terms are governed by the laws of the State of Minnesota. Disputes shall be resolved in the courts located in Minnesota, unless otherwise agreed in writing. 

19. General Provisions 
Summary: Standard legal terms . 
If you have signed a separate written agreement with GMG covering the same subject matter (including a Subscription Services Agreement or ZPTAG Subscription Agreement), that agreement prevails over these Terms to the extent of any conflict. You may not assign these Terms without our written consent; we may assign them to an affiliate or successor in interest. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control. If any provision of these Terms is held unenforceable, it will be limited or severed to the minimum extent necessary and the remainder will continue in effect. A failure to enforce any provision is not a waiver.
